1. Acceptance of Terms

By accessing or using our Services, whether as a registered user or visitor, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Your continued use of the Services after such modifications indicates your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and delete your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate or if you are found to be in violation of these Terms.

4. Access and Use of Services

GoodCoach grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or organizational use, subject to these Terms. You may not: • Resell, lease, or sublicense the Services. • Attempt to reverse engineer, decompile, or extract the source code. • Use the Services for any illegal or unauthorized purpose. We may limit or revoke access at our sole discretion, particularly if we believe a user is acting in a manner that could harm the platform or its users.

5. User Content

You retain ownership of all content you submit, upload, or otherwise make available through the Services ("User Content"). By providing User Content, you grant GoodCoach a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, display, and perform such content in connection with the operation and promotion of the Services. You represent that you have all rights necessary to grant this license and that your User Content does not infringe the rights of any third party. We reserve the right to remove content that violates our policies or applicable laws.

6. Service Availability and Updates

We strive to ensure the Services are always available, but we do not guarantee uninterrupted or error-free performance. From time to time, we may need to temporarily suspend access for maintenance or updates. We are not liable for any loss or inconvenience caused by such interruptions. We may introduce new features, modify existing functionality, or discontinue parts of the Services at any time. Any changes will be communicated when appropriate.

7. Third-Party Services and Integrations

GoodCoach may integrate with or link to third-party services, including social media platforms, wearable devices, and payment processors. Your use of such services is governed by their respective terms and privacy policies. GoodCoach is not responsible for the content, functionality, or practices of any third-party services.

8. Suspension and Termination

We may suspend or terminate your access to the Services without notice if we believe you have violated these Terms, misused the platform, or engaged in illegal or harmful conduct. Upon termination, all licenses and rights granted to you under these Terms will cease immediately. You may terminate your account at any time by contacting us or through your account settings. Deletion of your account may result in the loss of access to your data and associated content.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODCOACH DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We make no representations or warranties regarding: • The accuracy, reliability, or completeness of the Services; • The effectiveness of any training plans or workouts; • The security or integrity of data stored on or transmitted through the platform.

10. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GOODCOACH, ITS AFFILIATES, EMPLOYEES, OFFICERS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF $50 OR THE AMOUNTS PAID BY YOU TO GOODCOACH IN THE PREVIOUS 12 MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless GoodCoach and its officers, directors, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses arising out of or related to: • Your use or misuse of the Services; • Your violation of these Terms; • Any content you submit; • Your violation of any law or third-party right.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Saskatchewan, Canada. Any disputes arising under or in connection with these Terms will be subject to binding arbitration in Saskatoon, Saskatchewan, except where prohibited by local laws. You waive any right to participate in class actions or jury trials.

13. Entire Agreement

These Terms constitute the entire agreement between you and GoodCoach with respect to the Services. Any failure by GoodCoach to enforce any right or provision shall not constitute a waiver of such right or provision. If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
